Mission

The objectives of this function includes:
  • Litigation, contract management and compliance to statutory
  • Compliance to law and regulation
  • Legal Risk Assessment and anticipation
  • Ensuring that board procedures are followed

Key Areas of Responsibility & Duties:

  • To guarantee the implementation and the respect of all laws and rules in force applicable to the company;
  • Ensure the fulfillment of rights and obligations subscribe by the company;
Give legal notices on Company key decisions, advice the senior management team and assist operational services in the legal and process area;
  • Defend and protect company interest and patrimony;
  • Asses and detect legal risks incurred by the company: conduct regular legal risk assessment;
Prevent and solve litigations, propose private or judicial arrangements to litigations;
  • Elaborate and follow the contracts, control the legal value of all documents relating to these contracts;
  • Draw up contracts and agreements models after negotiations;
  • Assist Finance department during Tax Administration control;
  • Watch over the application of written or oral standards taken by the Management;
Coordinate and follow legal cases given to external firms;
  • Coordinate and follow relations with lawyers on the litigation and any others specifics matters.
  • Preparing and coordinating board meetings (agenda, minutes, controls list,.);
  • Follow-up board decisions with different stakeholders;
  • Ensuring that board procedures are followed;
  • Applicable rules and regulations are complied with;
  • Preparing, monitoring and updating schedules of compliance with relevant legislation. 


Qualifications & Skill Requirements

  • Bachelor of Laws
  • Qualified Attorney
  • Post-Graduate Qualification in Commercial Law or International Commercial Law is desired but not mandatory
  • Familiarity with OHADA business law is key
  • 8 years post qualification Commercial/Corporate Law experience in a large local law firm or an international law firm which must include considerable exposure and participation in:
  • Negotiations and drafting of highly complex transactions documents (locally and internationally)
  • Knowledge of French Law and OHADA
  • Multi-lingual transactions
  • Ability to apply and implement guidelines and standards associated with good governance and to comply with company law and rules for disclosure
  • Change management skills
  • Fraud detection and control skills

  • Strong command of the English language
